	To be an authorized affiliate of NewAutoSeeker.com, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the NewAutoSeeker.com service as an affiliate. By signing up for the NewAutoSeeker.com affiliate program, you indicate your acceptance of this agreement and its terms and conditions. NewAutoSeeker.com Affiliate Program Agreement This is to confirm that you, "You" and Seek and Sell Online Inc., "NewAutoSeeker.com," is a Florida corporation with its principal place of business located at 2908 Folklore Dr. Valrico, FL 33596 and its affiliate business operations have entered into an Agreement with respect to the NewAutoSeeker.com Affiliate Marketing Program as set forth below. 1. Relationship of Parties You agree to promote the NewAutoSeeker.com Affiliate Marketing Program for new car buying, used car buying, and special auto financing on web site(s) owned and operated by You using technology provided by NewAutoSeeker.com which could include a new car price quote, used car quote, special auto finance quote service hosted by NewAutoSeeker.com. NewAutoSeeker.com will provide You with instructions for implementing this technology in order to earn the compensation described in this Agreement. 2. Traffic Generation, Traffic Volume, and Traffic Quality a.) You will notify NewAutoSeeker.com of any significant changes in its promotional efforts that could affect the volume and quality of the generated new car referrals. NewAutoSeeker.com employs mechanisms to limit the flow of new car referrals to protect from unexpected surges in volume. Failure to notify NewAutoSeeker.com of changes in promotional activities could result in these mechanisms being invoked. NewAutoSeeker.com recognizes that the following are successful marketing activities designed to generate high quality traffic: • Search Engine Optimization in Automotive Areas • Pay for Placement Search Engines in the Automotive space • Advertising in and on Automotive-related Media and web sites Traffic generation activities outside these areas by You will need NewAutoSeeker.com prior approval. b.) You will not engage in the following marketing activities for generating new car price quote, used car quote, and special finance quote requests: • Offers involving questionable incentives (contests, giveaways, points) designed to coerce individuals into filling out a new car price quote request. • Email marketing , Co-Registration, or Pop-Up advertising • Facsimile solicitation • Marketing activities involving copyright infringement (i.e. purchasing dealership names as keywords on pay for placement search engines) 3. Compensation NewAutoSeeker.com agrees to pay You Payout Level I $5.00 per Qualified new car lead referred $5.00 per Qualified special finance lead referred $2.00 per Qualified used car lead referred Payout Level II (20% increase based on if 100 leads or $1200 in commissions are met) $6.00 per Qualified new car lead referred $6.00 per Qualified special finance lead referred $2.40 per Qualified used car lead referred Payout Level III (40% - 50% increase based on 500 leads or $7200 in commissions are met) $7.00 per Qualified new car lead referred $7.50 per Qualified special finance lead referred $2.80 per Qualified used car lead referred Referral submitted to a retail or wholesale partner as the result of a single prospective car buyer (1) clicking on the NewAutoSeeker.com text link or advertisement on your web site (s), (2) arriving at a NewAutoSeeker.com hosted web site, and (3) submitting valid referral information requesting contact from a NewAutoSeeker.com wholesale or retail dealer. A Qualified Referral is one where the single prospective car buyer completing the requested information is successfully referred to a local dealer or wholesale partner. A Rejected Referral is one that is not successfully referred to a local dealer or wholesale partner because the visitor has provided bogus/fraudulent information, the referral has previously been received by the local dealer or wholesale partner (i.e. considered a duplicate), the visitor's contact information is invalid, or the referral has been submitted by your personnel. Your's commissions are based only on Qualified Referrals. Quality Check and Payment Terms NewAutoSeeker.com uses a variety of quality check methods to determine whether a referral is transmitted and billed to a participating retail or wholesale dealer. Only those Qualified Referrals which are deemed valid for delivery to NewAutoSeeker.com' retail and wholesale dealer partners will be payable to You. NewAutoSeeker.com will transfer commission earned via your PayPal account once per month for the previous month at the end of any calendar month. 4. Confidentiality Neither NewAutoSeeker.com nor You will disclose or discuss the terms of this Agreement to or with any unaffiliated third party (other than their respective accountants, attorneys or other advisors on a confidential basis) at any time for any reason. 5. Tracking, Reporting, and Technology Usage NewAutoSeeker.com will provide technology that will allow you to direct your visitors to a new car price quote service hosted by NewAutoSeeker.com. This technology will rely on the user's referring URL as well as proprietary cookie tracking technology. Alternation of this technology may result in You not receiving credit for Qualified Referrals, would be in breech of this Agreement, and may result in Your termination. NewAutoSeeker.com will provide you a password protected login to our partner website where You can view information such as referred visitor, Qualified Referrals, and earned commissions. 6. Publicity You may not create, publish, or distribute in any way any items that reference NewAutoSeeker.com or Seek and Sell Online Inc. and other owned properties or its trademark in any other way then is allowed in your affiliate control panel without first submitting those items to NewAutoSeeker.com for approval and receiving NewAutoSeeker.com written consent. 7. Fraud NewAutoSeeker.com does not tolerate any form of fraud. Certain suspicious activities may result in suspension of an Affiliate's account, pending a full investigation. Such activities may include, but are not limited to: The conversion ratio of an Affiliate's leads or requests are higher than customary averages Have been shown to be fraudulent by dealer's attempted contact of Affiliate's leads or requests Special Aspects for Lead/Request Generation With respect to the generation of leads or requests for NewAutoSeeker.com, the following terms and conditions shall apply: Affiliate's privacy policy permits the collection, use and transfer of data as contemplated by this Agreement. Affiliates leads and requests will be scrubbed to eliminate duplicates or leads that do not meet NewAutoSeeker.com’s validation of lead requirements. Affiliate acknowledges that its collection of the leads or requests is being done solely for the benefit of NewAutoSeeker.com or its network dealerships, and Affiliate may not use, sell, transfer or assign or attempt to obtain any consideration or value for the leads or request for its own or any other purpose. All right, title and interest in the leads or requests delivered to NewAutoSeeker.com shall vest exclusively in NewAutoSeeker.com or its network dealerships. 8. Term of Agreement This Agreement, effective as of its latest signing, will be in effect until either party terminates this agreement. You may terminate this agreement by simply removing any provided technology or links to the NewAutoSeeker.com new car price quote service from your website. NewAutoSeeker.com may terminate this agreement at any time and for any reason. You will receive notification of termination via the email address provided to NewAutoSeeker.com at time of program application. At termination, NewAutoSeeker.com will pay any owed outstanding commissions; however, if the reason for termination by NewAutoSeeker.com is for fraudulent referral submission, NewAutoSeeker.com can terminate this Agreement immediately without payment of outstanding commissions. 9. Miscellaneous NewAutoSeeker.com reserves the right to modify or change this agreement at its sole discretion.
